What is a Confirmation Statement?

A Confirmation Statement is a document that limited companies must file with Companies House at least once every 12 months.

Its purpose is to confirm that the information Companies House holds about your company is accurate and up to date.

It does not report financial figures. It confirms company details.

What information does it confirm?

A Confirmation Statement checks and confirms:

  • Company name and registered office address

  • Directors and company secretary details

  • Shareholders

  • Share capital and share structure

  • People with Significant Control

  • SIC code, which describes your business activity

If anything has changed, those changes must usually be updated before or at the same time as filing the Confirmation Statement.

When is it due?

A Confirmation Statement must be filed at least once every 12 months.

The 12 month period is called the review period and is based on:

  • The date your company was incorporated, or

  • The date your last Confirmation Statement was filed

Companies House will send reminders, but the legal responsibility to file remains with the directors.

If it is not filed on time, Companies House can start action to strike the company off the register.

Is there a filing fee?

Yes. Companies House charges a filing fee each time a Confirmation Statement is submitted.

The current fee can be found on the Companies House website.

Does Mazuma file this automatically?

We only file Confirmation Statements for clients if this service is included in their package.

If it is included, we will:

  • Review the company information

  • Prepare and submit the Confirmation Statement

  • Arrange payment of the Companies House fee

If it is not included in your package, you remain responsible for ensuring it is filed on time.

Key reminder

The Confirmation Statement is separate from:

  • Annual accounts

  • Corporation Tax returns

Even if your accounts and tax return are filed, you must still ensure your Confirmation Statement is submitted each year.
